License and Terms of Use

Welcome to Takeoff. These License and Terms of Use ("Terms") govern your licensing and use of the Takeoff desktop application ("Software") provided by PQuant.

1. License Grant and One-Time Payment

By purchasing a Takeoff license for €250 (VAT 0%), you are granted a perpetual, worldwide, non-exclusive license to use the purchased major version of the Software (v1.x). This license is subject to the following terms:

• No Subscription Fees: You pay for the Software only once. Your right to use it never expires, and the Software will never stop working after a trial or license period.
• Maintenance Updates: All minor updates, bug-fixes, and performance enhancements for your purchased major version are included. Future major versions (e.g. v2.0) may be offered as paid optional upgrades.

2. Free Resale and Transfer Rights (The Fair Play Deal)

We believe that if you buy a tool, you should own it. Therefore, our Terms explicitly permit the free resale and transfer of your license key to another user:

• You are free to sell or gift your purchased license key to a third party without any transfer fees or administrative charges.
• Before handing the key to the new owner, you must release it from your own installation by clicking the Change / Release button in the app settings while connected to the internet. This releases the key on the PQuant license server.
• Once released, the new owner can immediately activate the same license key on their own computer. We do not store personal owner records or charge any transfer fees. A single license key can only be active on one device at a time.

3. Data Ownership and Privacy

All projects, drawings, cost recipes, and takeoff measurements created using the Software belong exclusively to you. The Software stores this data locally in an SQLite database. We do not have access to your project files, nor can we view, use, or delete any of your calculations.

4. Permitted Use and Restrictions

As a licensee, you agree to the following terms:

• You may not decompile, reverse engineer, or modify the binary files of the Software, except to the extent permitted by applicable law.
• A single Pro license allows the Software to be used by one (1) active user. You may install the Software on multiple devices (e.g. your office PC and your laptop), provided that the application is not run concurrently by multiple individuals.

5. Student License

The free student license (€0) is granted solely for educational use, academic research, and course assignments. It must not be used for commercial contracting, professional estimating, or business operations. Student licenses are strictly non-transferable and cannot be resold.

6. Disclaimer of Warranty and Limitation of Liability

The Software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability or fitness for a particular purpose. PQuant shall not be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to loss of revenue, bidding losses resulting from calculation errors, or data loss) arising out of the use or inability to use the Software.
